TERMS   AND CONDITIONS

From the Inside-Out School of Etiquette, LLC

Effective Date: September 16, 2014

Last Updated: September 16, 2014

  1. Acceptance of Terms

Welcome to From the Inside-Out School of Etiquette, LLC ("Company," "School," "we," "us," or "our").

These Terms and Conditions ("Terms") govern your access to and use of our website, online platforms,  courses, certification programs, memberships, workshops, consultations, educational materials, digital  products, books, events, and other products and services offered by From the Inside-Out School of Etiquette,  LLC.

By accessing our website, registering for a program, purchasing a product or service, creating an account,  submitting payment, or otherwise using our services, you acknowledge that you have read, understood, and  agree to be bound by these Terms and any additional written agreement applicable to a particular service.

If you do not agree to these Terms, you should not purchase or use our products or services.

Where a separately executed written agreement conflicts with these Terms, the separately executed  agreement will control with respect to the subject matter addressed in that agreement.

  1. About From the Inside-Out School of Etiquette

From the Inside-Out School of Etiquette, LLC provides etiquette education, professional development,  consultant certification, business education, youth etiquette instruction, private instruction, corporate and  organizational workshops, virtual instruction, membership programs, educational resources, books, digital  products, events, and related services.

Programs, services, instructors, schedules, curriculum, delivery methods, pricing, and availability may change  from time to time.

  1. Eligibility and Minors

Individuals under the age of 18 may participate in designated youth programs only with the authorization of a  parent or legal guardian where required.

A parent or legal guardian purchasing, registering for, or agreeing to services on behalf of a minor represents  that he or she has the legal authority to do so.

Parents and guardians are responsible for providing accurate registration information and for ensuring that  minors comply with applicable program rules and standards of conduct.

Our website and general commercial services are not intended to permit children to independently enter into  binding commercial agreements with the Company.

  1. Registration and Account Information

You agree to provide complete, current, and accurate information when registering for programs, making  purchases, or creating an account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring  through your account.

You may not share restricted course credentials, portal access, membership access, or other individualized  access credentials with unauthorized persons.

We reserve the right to suspend or terminate access if we reasonably believe an account is being shared,  misused, accessed fraudulently, or used in violation of these Terms.

  1. Prices and Payment

Prices for products and services are those displayed or quoted at the time of purchase unless otherwise stated  in a written agreement.

Payment may be required in full or according to an approved payment schedule.

Applicable taxes, processing charges, travel expenses, accommodations, shipping charges, or other expenses  may be charged separately where disclosed before purchase or established in a written service agreement.

Failure to make a required payment may result in suspension of services, withholding of materials or  certification, cancellation of participation, or termination of access.

  1. Deposits

When a deposit is required to reserve a date, program, workshop, speaking engagement, consultation, training,  or other service, the deposit secures the Company's availability and may prevent us from accepting other  engagements for that date or period.

Unless expressly stated otherwise in writing, deposits are non-refundable.

Where the Company expressly permits a deposit or payment to be transferred as a credit, the credit must be  used within the time period specified in the applicable proposal, invoice, agreement, or written Company  policy.

Any existing written agreement between the customer and Company concerning deposits or credits will  control.

  1. Cancellations and Rescheduling

Cancellation and rescheduling policies may vary according to the particular program or service purchased.

The policy stated in the applicable registration page, proposal, invoice, contract, or service agreement will  govern.

Requests to cancel or reschedule should be submitted in writing.

Rescheduling is subject to instructor availability and is not guaranteed.

The Company reserves the right to establish reasonable rescheduling fees or require additional payment when  a change results in additional expenses, travel changes, venue charges, or administrative costs.

  1. Refund Policy

Except where otherwise expressly stated in writing or required by applicable law, purchases are non refundable once services, instruction, course access, downloadable materials, proprietary resources, or other  benefits have been provided or made available.

Because many Company products include immediate access to proprietary intellectual property, educational  materials, digital resources, or reserved professional time, refunds may not be available after such access or  performance begins.

Specific programs may have separate refund or cancellation policies. Those policies will be disclosed at or  before purchase and incorporated into these Terms.

Nothing in these Terms limits rights that cannot legally be waived under applicable law. 9. Certification Programs

Enrollment in an etiquette certification program does not automatically guarantee certification.

Participants must satisfactorily complete the requirements established for the applicable program, which may  include completing modules, attending required sessions, demonstrating competency, completing assignments  or assessments, satisfying financial obligations, and complying with professional and ethical standards.

The Company reserves the right to withhold certification where a participant has not fulfilled program  requirements.

Certification signifies completion of the Company's applicable certification requirements. It does not constitute  a governmental license, academic degree, guarantee of employment, guarantee of business success, or  guarantee of income.

  1. Business and Income Disclaimer

The Company may provide educational information regarding entrepreneurship, marketing, business  development, social media, pricing, client acquisition, business operations, or related subjects.

Examples of income, business growth, client success, contracts, opportunities, or results are provided for  educational or illustrative purposes only.

We do not guarantee that any participant will earn a particular amount of income, obtain clients, secure  contracts, establish a profitable business, achieve social-media growth, or obtain any particular business  result.

Individual results depend upon numerous factors, including effort, experience, market conditions,  implementation, location, pricing, business decisions, and circumstances outside the Company's control.

  1. Educational Disclaimer

Our courses, workshops, certification programs, publications, videos, presentations, and educational resources  are provided for educational and informational purposes.

Unless expressly stated otherwise, the information provided does not constitute legal, financial, accounting,  tax, medical, mental-health, or other regulated professional advice.

Participants should consult appropriately licensed professionals regarding matters requiring specialized  professional advice.

  1. Intellectual Property

All Company content is owned by or licensed to From the Inside-Out School of Etiquette, LLC and is protected  by applicable intellectual-property laws.

This includes, without limitation: curriculum and teaching methods; certification materials; training manuals;  PowerPoint presentations; worksheets and handouts; videos and recordings; course modules; scripts; graphics; photographs; logos; trademarks and branding; downloadable resources; templates; proprietary  documents; website copy; digital courses; and other educational materials.

Purchase or enrollment does not transfer ownership of the Company's intellectual property. Participants receive only the limited license expressly provided for the particular product or program. 13. Prohibited Use of Materials

Unless expressly authorized in writing, you may not copy, reproduce, republish, sell, sublicense, distribute,  upload, publicly display, transmit, share, teach directly from, modify, create derivative works from, or  commercially exploit Company materials.

You may not share course login credentials or distribute restricted Company resources to persons who have  not purchased or been granted authorized access.

You may not record Company training sessions, Zoom sessions, consultations, presentations, certification  sessions, or other restricted programming without prior written permission.

Unauthorized use may result in immediate termination of access and may subject the responsible party to  available legal remedies.

  1. Consultant Materials and Certification Resources

Certified consultants may receive certain resources for use in their businesses.

Any permission to use Company materials is limited to the rights expressly granted by the Company.

Certification does not give a consultant ownership of the Company's trademarks, curriculum, copyrighted  materials, brand identity, business name, proprietary resources, or other intellectual property.

Certified consultants are independent business owners unless a separate written agreement expressly  establishes another relationship.

Certification does not create an employment relationship, partnership, joint venture, franchise, agency  relationship, or authority to legally bind the Company.

  1. Virtual Programs and Technology

Virtual programs may be delivered through Zoom or other third-party technology platforms.

Participants are responsible for having suitable internet access, equipment, software, audio, video, and other  technology necessary to participate.

The Company is not responsible for interruptions caused by a participant's equipment, internet provider,  device, software, or other circumstances outside the Company's reasonable control.

We may substitute a reasonably comparable technology platform when necessary. 16. Attendance and Punctuality

Participants are responsible for attending scheduled programs on time.

Late arrival, early departure, missed sessions, or failure to participate does not automatically entitle a  participant to a refund, makeup session, extension, or credit.

Private sessions and programs may be subject to additional attendance or rescheduling requirements  communicated at booking.

  1. Code of Conduct

Participants are expected to conduct themselves professionally and respectfully.

The Company reserves the right to remove, suspend, or terminate the participation of any individual whose  conduct is threatening, abusive, discriminatory, harassing, disruptive, dangerous, fraudulent, or materially  interferes with the learning environment or the rights of others.

Where appropriate and legally permissible, removal for misconduct may occur without refund. 18. Photography, Video and Recording

Certain in-person programs and events may be photographed or recorded.

When photographs or recordings will be used for promotional or commercial purposes, the Company will  obtain permissions or releases where required.

For minors, appropriate parent or legal guardian authorization will be obtained when required. A separate photography or media release may apply to particular programs or events. 19. Events and Travel

Certain Company services require travel.

Where a client is responsible for travel-related expenses, those obligations may include airfare, ground  transportation, lodging, meals, parking, baggage, mileage, or other reasonable travel expenses, as specified in  the applicable proposal or agreement.

The Company is not responsible for delays or cancellations caused by airlines, hotels, venues, weather,  governmental action, transportation providers, natural disasters, or circumstances beyond the Company's  reasonable control.

  1. Memberships and Recurring Payments

If you purchase a membership, subscription, or other recurring service, the recurring-payment terms, billing  frequency, price, renewal provisions, and cancellation procedures applicable to that program will be disclosed  at or before enrollment.

By enrolling in an automatically renewing program, you authorize the Company or its payment processor to  charge the applicable payment method according to the disclosed billing schedule until cancellation in  accordance with the applicable program terms.

Where required by law, automatic-renewal provisions will be presented clearly and conspicuously, and  required renewal notices will be provided.

Cancellation does not automatically entitle a member to a refund of amounts already properly charged. 21. Third-Party Services and Links

Our website or services may contain links to or integrate with third-party services, including payment  processors, scheduling platforms, video-conferencing providers, social-media platforms, email providers,  learning platforms, or other external services.

We do not control and are not responsible for third-party websites, services, privacy practices, availability,  content, or security.

Use of third-party services may be subject to separate terms and privacy policies.

  1. Testimonials

Testimonials displayed by the Company represent the experiences and opinions of the individuals providing  them.

Testimonials are not guarantees that every customer, participant, student, or consultant will achieve identical  or similar results.

Individual experiences and outcomes vary.

  1. Website Accuracy

We endeavor to provide accurate information. However, occasional typographical errors, pricing errors,  outdated information, technical errors, or omissions may occur.

We reserve the right to correct errors and update information.

If an error materially affects an existing purchase, we will address the matter consistent with applicable law  and the circumstances of the transaction.

  1. Chargebacks and Payment Disputes

Customers should contact the Company promptly regarding legitimate billing questions or disputes so that we  have an opportunity to investigate and resolve the matter.

Nothing in these Terms prohibits a customer from exercising lawful rights through a card issuer, financial  institution, payment processor, or consumer-protection authority.

However, knowingly making false representations in connection with a payment dispute or chargeback may  constitute a violation of these Terms and applicable law.

The Company reserves the right to provide relevant transaction records, agreements, access records,  correspondence, and proof of services to payment processors or financial institutions when responding to a  payment dispute.

  1. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Company services and website content are provided on an  "as available" basis.

The Company does not warrant that the website or every digital service will operate continuously,  uninterrupted, or error-free.

Nothing in this provision excludes warranties or consumer rights that cannot lawfully be excluded. 26. Limitation of Liability

To the fullest extent permitted by applicable law, From the Inside-Out School of Etiquette, LLC and its owners,  employees, contractors, instructors, representatives, and agents will not be liable for indirect, incidental,  special, consequential, exemplary, or punitive damages arising from the use of Company products or services.

To the fullest extent permitted by applicable law, the Company's aggregate liability arising from a particular  purchased product or service will not exceed the amount actually paid to the Company for the product or  service giving rise to the claim.

This limitation does not apply where liability cannot lawfully be limited or excluded. 27. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless From the Inside-Out  School of Etiquette, LLC and its owners, officers, employees, contractors, representatives, and agents from  third-party claims, damages, liabilities, and reasonable costs arising from your unlawful misuse of the website,  unauthorized use or distribution of Company intellectual property, violation of these Terms, or infringement of  another person's rights.

  1. Force Majeure

The Company will not be responsible for failure or delay in performance caused by events beyond its  reasonable control, including severe weather, natural disasters, epidemics or public-health emergencies,  governmental orders, transportation disruptions, venue closures, utility failures, widespread internet outages,  labor disruptions, acts of terrorism, war, civil unrest, or similar circumstances.

Where practicable, the Company will make reasonable efforts to reschedule or provide an alternative method  of performance.

  1. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles,  except where applicable law requires otherwise.

Any mandatory consumer-protection rights applicable to a customer remain unaffected. 30. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes  directly.

Attorney-review note: Consider whether to add mandatory mediation, binding arbitration, a jury-trial waiver,  a class-action waiver, and an exclusive Broward County venue provision. These provisions can materially  affect legal rights and should be reviewed by a Florida attorney before publication.

  1. Privacy

Use of the website and Company services is also subject to our Privacy Policy, which explains how personal  information is collected, used, disclosed, protected, and retained.

Where applicable, privacy rights will be administered in accordance with applicable federal and state law.

  1. Changes to These Terms

We may revise these Terms periodically.

The revised Terms will be posted on our website with an updated "Last Updated" date.

Changes will apply prospectively except where applicable law permits otherwise. Material changes affecting an  existing transaction will not retroactively alter agreed contractual rights where doing so would be unlawful.

Continued use of the website after updated Terms become effective constitutes acceptance of the updated  Terms to the extent permitted by law.

  1. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will  remain in effect to the fullest extent permitted by law.

  1. No Waiver

Failure by the Company to enforce a provision of these Terms does not constitute a waiver of that provision or  any other right.

  1. Entire Agreement

These Terms, together with the applicable Privacy Policy, registration terms, purchase terms, proposals,  invoices, policies, releases, and separately executed agreements, constitute the applicable agreement between  the parties concerning the relevant product or service.

Where a separately signed agreement expressly conflicts with these general Terms, the separately signed  agreement will control as to the conflicting provision.

IMPORTANT IMPLEMENTATION NOTES

  • This document is an attorney-review draft and is not a substitute for advice from a licensed Florida  attorney. Have counsel review the final Terms before publication, particularly the dispute-resolution,  liability, recurring-payment, refund, and intellectual-property provisions.
  • Maintain a separate Privacy Policy and a separate Refund, Cancellation & Rescheduling Policy on the  website.
  • For recurring memberships or subscriptions, ensure the checkout page clearly discloses the price, billing  frequency, automatic-renewal terms, and cancellation method before the customer enrolls. • Use an unchecked acceptance box at checkout linking to the Terms & Conditions, Privacy Policy, and  applicable Refund/Cancellation Policy.
  • Because the Company serves minors, use appropriate parent/guardian consent and media-release  documentation for youth programs where applicable.
